Derick Kauffman​

Derick S. Kauffman assists clients in corporate finance, mergers and acquisitions and general corporate matters, including public company reporting and governance issues. He has a niche practice in public offerings of special purpose acquisition companies (SPACs) on behalf of issuers. Derick guides SPACs through the initial public offering (IPO) process and can assist with business combination plans.

Derick handled the Intermex Holdings II, Inc. and FinTech Acquisition Corp. II initial business combination, which involved performing diligence on the target, drafting and negotiating the merger agreement and related ancillary agreements and preparing the relevant proxy solicitation materials . In addition, he also has experience negotiating, drafting and reviewing various contracts.

Derick has a collaborative approach, he knows that all parties working with instead of against each other will result in a quicker and more comprehensive solution. He understands and prioritizes his clients’ business needs while finding cost-effective strategies.

Prior to joining the firm, Derick was counsel at Dechert LLP, where he represented companies and investment banks in cross border public and private financing transactions and securities offerings of debt and equity. While at Dechert, Derick also represented strategic and private equity buyers and sellers in merger and acquisition transactions across a wide range of industry sectors.
